About Marshall v. SSC Nashville Operating Co., LLC

On June 26, 2017, the Supreme Court of the United States ruled in favor of petitioner Tommie Marshall in his case against respondent SSC Nashville Operating Co., LLC. The court held that, under the Federal Arbitration Act (FAA), an arbitration clause in a collective bargaining agreement (CBA) is unenforceable if it requires an employee to waive his or her right to bring a class action lawsuit arising out of the employment relationship.

The ruling is a victory for workers and a setback for employers who have increasingly used arbitration clauses in CBAs to insulate themselves from class action lawsuits. It is also likely to have a significant impact on the burgeoning number of workplace disputes that are resolved through arbitration.

Background

Marshall worked for SSC Nashville, a provider of in-home health care services, from October 2009 to November 2010. His job duties included caring for patients in their homes and providing transportation to and from appointments. In November 2010, he was terminated for allegedly leaving a patient unattended.

Marshall subsequently filed a class action lawsuit against SSC Nashville, alleging that the company had failed to pay him and other workers the minimum wage and overtime compensation required by the Fair Labor Standards Act (FLSA). He also alleged that the company had retaliated against him for engaging in protected activity under the FLSA.

SSC Nashville moved to dismiss Marshall’s lawsuit and compel arbitration pursuant to an arbitration clause in the CBA between the company and the union that represented Marshall and other workers. The clause provided that any disputes between the company and an employee “arising out of or relating to” the CBA would be resolved through arbitration.

The district court granted SSC Nashville’s motion, but the Sixth Circuit Court of Appeals reversed, holding that the arbitration clause was unenforceable because it required Marshall to waive his right to bring a class action lawsuit.

The Supreme Court’s decision

The Supreme Court affirmed the Sixth Circuit’s decision. In a 6-3 opinion authored by Justice Ginsburg, the court first noted that the FAA generally requires courts to enforce arbitration clauses in contracts. However, the court went on to hold that an arbitration clause is unenforceable if it requires an employee to waive his or her right to bring a class action lawsuit arising out of the employment relationship.

The court reasoned that class actions are “fundamental” rights guaranteed by the National Labor Relations Act (NLRA). As such, under the NLRA, employees have a right to engage in “collective bargaining” – which includes the negotiation of arbitration clauses – and employers are prohibited from interfering with that right. The court further held that an arbitration clause that requires an employee to waive his or her right to bring a class action is an unlawful interference with the employee’s right to engage in collective bargaining.

The court also rejected SSC Nashville’s argument that the FAA required the court to enforce the arbitration clause because Congress had expressly stated in the FAA that the Act’s provisions should be construed in favor of arbitration. The court held that this “favored status” did not apply to arbitration clauses that violate other laws, like the NLRA.

The dissent

In a dissenting opinion, Justice Alito – joined by Chief Justice Roberts and Justice Thomas – argued that the majority’s decision was “manifestly contrary” to the text of the FAA. He also argued that the decision would have a negative impact on businesses and workers who choose to resolve their disputes through arbitration.
